[Remote] Legal Counsel
Note: The job is a remote job and is open to candidates in USA. Harrison.ai is redefining healthcare through innovative diagnostic AI solutions. They are seeking a US-qualified lawyer with experience in technology or healthcare SaaS to provide legal and compliance support, manage commercial contracts, and ensure adherence to regulatory frameworks.
Responsibilities
- Draft, review and negotiate a range of commercial agreements—including NDAs, MOUs, enterprise SaaS agreements, distribution and partnership agreements, EULAs, BAAs, customer and sales agreements, and government tender documentation
- Support both customer and vendor-side negotiations, ensuring contractual terms reflect regulatory requirements
- Provide practical, business-oriented legal and compliance advice to internal stakeholders, especially the commercial and sales teams
- Help develop, improve and scale contract management systems (Lawvu), processes and approval workflows and create and revise contract templates
- Provide legal and compliance support across multiple jurisdictions, including the US, Canada, EU/UK and Australia
- Advise on corporate governance and compliance matters and support the General Counsel and Company Secretary on governance processes for USA entities
- Work flexibly across time zones to support a global, regulated organisation
- Serve as a day-to-day compliance partner to the business, identifying, assessing and mitigating legal and regulatory risk across the company’s products and operations
- Advise on US healthcare and medical-device regulatory frameworks relevant to healthcare SaaS / SaMD and teleradiology (e.g., HIPAA, FDA, FTC, Stark Law, Anti-Kickback Statute, fraud-and-abuse rules, corporate practice of medicine), and monitor regulatory developments that affect the business
- Develop, implement and maintain compliance policies, procedures, controls and training, and embed compliance-by-design into product, commercial and operational workflows
- Support compliance monitoring, audits, due diligence and risk assessments, and help manage regulatory queries, investigations and remediation
- Partner with privacy and security specialists on HIPAA, GDPR, CCPA and other region-specific requirements, and advise on the lawful handling of health and personal data
- Draft and negotiate BAAs, data processing agreements and related terms, and help maintain the company’s privacy compliance posture
Skills
- US-qualified lawyer with 3–6 years PQE
- In-house experience in technology, SaaS or healthcare (including health systems, hospitals or universities), with meaningful exposure to compliance and regulatory matters
- Working knowledge of HIPAA and US regulatory frameworks relevant to healthcare / SaaS (e.g., FDA, FTC), and an interest in deepening compliance expertise
- Solid commercial contracting experience across SaaS and technology transactions or teleradiology services
- Prior training at a top-tier or international law firm (highly regarded)
- Licensed in New York and/or California (preferred but not necessary)
- Experience building or operating compliance programs, policies, controls or training in a regulated environment, including teleradiology MSO-PC structures
- Familiarity with global privacy laws (GDPR, CCPA) and experience negotiating BAAs and data processing agreements
- A relevant privacy or compliance certification (e.g., CIPP/US) is a plus
- Experience supporting sales organizations and comfortable working in fast-paced, high-pressure, deal-driven environments
- Exposure to government procurement and tender processes
- Hands-on experience with contract management and automation tools and creating, revising, and implementing contract templates
- Prior experience in healthcare SaaS, radiology, or teleradiology businesses
