[Remote] Senior Director, Corporate Development & Financial Markets

Omnidian, Inc. is a fast-growing Series C tech-enabled service company revolutionizing performance assurance for the distributed solar and energy storage industries. The Senior Director of Corporate Development will lead M&A execution and financial services strategy, focusing on building relationships and facilitating value-accretive transactions.
Responsibilities
- Proactively identify and build strategic relationships with solar financiers, tax equity investors, and ESG-focused private equity firms to expand the company's footprint within capital markets
- Lead the strategic cultivation of financial institutions to position the company as the premier Back-Up Service Provider, ensuring institutional lenders, tax equity investors, and asset owners have the necessary operational contingencies to secure long-term financing for renewable portfolios
- Proactively identify opportunities within the financial services ecosystem—such as a new infrastructure fund launch or a debt facility expansion—and partner with the Sales Team
- Maintain a comprehensive and dynamic map of the financial services landscape as it pertains to renewable energy, including deep segmentation of infrastructure funds, institutional asset managers, tax equity providers, and debt/equity capital sources
- Conduct deep financial analysis on the profitability and risk profiles of various security types and fund structures. This includes modeling complex distribution waterfalls (catch-ups, carried interest, and hurdle rates) to evaluate the economic returns of tax equity flips, debt tranches, and equity participating interests
- Collaborate with product teams to ensure the company’s performance guarantees meet the rigorous risk-assessment standards of Tier-1 banks and insurers, positioning the company as the essential de-risking layer for distributed energy portfolios
- Partner with the CSO to communicate the company’s value proposition to institutional investors, making it easier for financial institutions to deploy capital into the renewable energy space
- Oversee the development of reporting frameworks that translate technical solar performance data into actionable financial KPIs for asset managers and investors
- Lead and manage all phases of the deal lifecycle from initial management meetings and Letter of Intent (LOI) through definitive agreements and closing
- Design and execute complex partnership structures for new clients, including Joint Ventures (JVs) and minority investment structures, to align long-term incentives and facilitate market entry for emerging financial products
- Own end-to-end financial analysis, including sophisticated DCF modeling, transaction comparability analysis, and merger models. For the company, this includes specialized modeling for LCOE (Levelized Cost of Energy) and asset yield
- Actively monitor, benchmark, and provide quarterly reporting on the performance, valuation multiples, and strategic movements of publicly traded solar and renewable energy companies to inform the company's relative market positioning
- Design and lead comprehensive cross-functional due diligence efforts (Legal, Product, Engineering, Ops) to identify and quantify key transaction risks for executive review
- Serve as a key bridge to the CFO by providing rigorous corporate finance support, aligning financial modeling standards with fiscal policy, and assisting in the structuring of deal economics and negotiation of commercial terms
- Work closely with the CSO to validate strategic alignment, market opportunity, and competitive fit for all inbound and CSO-sourced targets, with a focus on FinTech and InsurTech white spaces
- Prepare and present data-driven investment theses and financial rationale to the Executive Team and Board of Directors, ensuring joint alignment between corporate strategy (CSO) and financial impact (CFO)
- Act as a senior representative when engaging with investment bankers, venture capitalists, and target company executives
- Drive detailed integration plans for Finance, Operations, and G&A functions to ensure smooth transitions
- Establish frameworks for tracking and validating financial and operational synergies post-close against the original deal thesis, coordinating closely with the CFO's core finance team to verify performance
- Formalize and continuously improve the company's M&A strategy and tools to build a repeatable, scalable acquisition function
Skills
- Minimum 10+ years of progressive experience in transaction-intensive roles (Corporate Development, Investment Banking, or Private Equity)
- Proven track record of successfully leading, structuring, and closing multiple M&A transactions (ideally in the $25M - $200M enterprise value range) within the renewable energy, technology, SaaS, or FinTech sectors
- Demonstrated experience influencing cross-functional teams and managing external financial/legal advisors
- Bachelor's degree in Finance, Economics, or related field required
- Strong preference for candidates with deep experience in Renewable Energy Finance
- MBA from a top-tier program highly preferred
