Responsibilities:
- Draft, review, and negotiate vendor agreements, including SaaS, technology, and professional services contracts.
- Work on MSAs, SOWs, DPAs, NDAs, and related procurement documentation to ensure business needs are met and risks are managed.
- Partner with legal, finance, and business teams to support efficient, business-aligned contract execution.
- Identify legal and commercial risks within vendor arrangements, offering practical, solution-oriented guidance to stakeholders.
- Support contract lifecycle management, including renewals, amendments, and handling escalations as needed.
- Maintain and improve standard contract templates, playbooks, and contracting processes to streamline workflows and ensure consistency.
- Enhance the speed and scalability of vendor contracting operations within a fast-moving environment.
Must-Have Skills:
- 5+ years of experience in commercial contracts, procurement, or corporate transactions.
- Strong experience drafting and negotiating vendor and SaaS agreements.
- JD from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Deep understanding of contract risk allocation in commercial technology transactions.
- Ability to work independently and effectively in a remote, part-time capacity.
- Excellent communication skills with a pragmatic and business-oriented approach.
- High attention to detail and ability to manage multiple concurrent agreements.
