Funds/Investment Management Attorney - Fully Remote

With a flexible approach to billable expectations, a fully distributed workforce, and a modern, tech‑forward infrastructure, the firm empowers associates to take control of their careers while continuing to handle sophisticated funds and investment management work for innovative, growth‑focused clients.Key ResponsibilitiesAdvise on a wide range of funds and investment management matters, including:Formation, structuring, and ongoing operation of private investment funds and special purpose vehiclesDrafting and negotiation of fund governance documents, including limited partnership agreements, operating agreements, subscription documents, and side lettersAdvising fund sponsors and managers on fundraising strategy, investor relations, and regulatory considerationsCounseling on fund governance matters, including LPACs, advisory boards, valuation procedures, and fiduciary obligationsRepresentation of investors and fund managers in investments across startups, growth‑stage, and turn‑around capitalSupporting secondary transactions, restructurings, and liquidity events involving fund interestsProviding general investment management and transactional support to fund sponsors and portfolio companiesTake lead responsibility on drafting, negotiating, and managing fund documentation and investment-related transactions.Provide strategic, business‑minded guidance to sponsors, managers, and investors throughout the fund lifecycle.Work directly with partners and clients in a highly collaborative, efficient, and entrepreneurially focused environment.Maintain strong ownership over client relationships and workstreams, with meaningful autonomy and visibility into the economics of each engagement.QualificationsJ.D. from an accredited law schoolAdmission to the New York Bar (or the ability to waive into NY)Admission to the Delaware Bar is a plus but not required3+ years of experience in fund formation, investment management, private funds, or related transactional workExcellent written and verbal communication skillsStrong commercial judgment and ability to advise sophisticated fund sponsors and investorsSelf‑motivated, highly organized, and eager to take greater ownership of matters and client relationshipsLocation: Fully Remote (Anywhere in the U.S.) Base Office: New York City Compensation: $500,000+ Bar Admission: NY Bar (or ability to waive in); DE Bar is a plus
